Welcome to Easethetics, a clinic management software-as-a-service (SaaS) platform operated by Geopro Global Solutions Inc. ("Company," "we," "us," or "our"). By accessing or using our platform, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use the platform.
1. Acceptance of Terms
By creating an account, subscribing to a plan, or otherwise accessing any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Geopro Global Solutions Inc.
2. Description of Services
Easethetics provides cloud-based clinic management solutions designed for dermatology and aesthetics clinics. Our services include:
- Easethetics V2 — The core clinic management platform for managing patients, appointments, point-of-sale transactions, inventory, employee schedules, memberships, and reporting.
- Easebook — An online appointment booking system that allows patients to schedule appointments directly with clinics.
- Easelife — A patient-facing mobile application for managing appointments, viewing treatment history, and accessing clinic services.
- Easemart — An e-commerce module enabling clinics to sell products online with delivery, cart management, and order tracking.
We may modify, update, or discontinue features of the platform at any time with reasonable notice.
3. Account Registration and Responsibilities
To access the platform, you must register an account through our onboarding process. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Keep your login credentials confidential and not share them with unauthorized parties.
- Notify us immediately of any unauthorized use of your account.
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.
4. Subscription and Billing
- Pricing: Subscriptions are billed on a monthly, per-branch basis. Pricing details are provided during onboarding and may be updated with at least 30 days' notice.
- Free Trial: New clinics may be eligible for a free trial period. Upon expiration, a paid subscription is required to continue using the platform.
- Payment Methods: We accept payments via EasePay (our integrated payment gateway) and direct bank transfer.
- Invoicing: Subscription invoices are generated on the 1st of each month. Payment is due within the terms specified on the invoice.
- Late Payment: Failure to pay within the specified period may result in service suspension until the outstanding balance is settled.
- No Refunds: Subscription fees are non-refundable except where required by applicable Philippine law.
5. Service Availability and Maintenance
We strive to maintain high availability of the platform. However, we do not guarantee uninterrupted or error-free service. We may perform scheduled maintenance, during which the platform may be temporarily unavailable. We will endeavor to provide advance notice of planned maintenance through the platform or via email.
6. Intellectual Property
All intellectual property rights in the platform — including but not limited to software, design, logos, trademarks, documentation, and content — are owned by Geopro Global Solutions Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the platform solely for its intended purposes during your active subscription.
You may not:
- Copy, modify, distribute, or create derivative works based on the platform.
- Reverse engineer, decompile, or disassemble any part of the platform.
- Remove or alter any proprietary notices or labels on the platform.
- Sublicense, sell, or transfer your access to any third party.
7. User Content and Data Ownership
You retain ownership of all data and content you upload, create, or store on the platform ("User Content"), including patient records, transaction data, and clinic information. By using the platform, you grant us a limited license to process, store, and transmit your User Content solely for the purpose of providing and improving our services.
We will not sell, share, or use your User Content for purposes unrelated to the services, except as required by law or as described in our Privacy Policy.
8. Acceptable Use Policy
You agree not to use the platform to:
- Violate any applicable Philippine or international law or regulation.
- Infringe upon the rights of others, including intellectual property and privacy rights.
- Upload or transmit viruses, malware, or other harmful code.
- Attempt to gain unauthorized access to the platform, other accounts, or related systems.
- Interfere with or disrupt the platform's infrastructure or other users' access.
- Use the platform for any purpose other than its intended clinic management functions.
- Transmit unsolicited communications or spam through the platform's SMS or email features.
9. SMS/Email Credit Wallets
The platform provides SMS and email credit wallets for clinic communications (appointment reminders, marketing campaigns, etc.). Credits are:
- Non-transferable between clinics or branches.
- Refilled monthly according to your subscription plan.
- Non-refundable and do not carry over between billing periods unless otherwise specified.
Additional credits may be purchased as needed. Usage of SMS and email credits must comply with Philippine anti-spam regulations and our Acceptable Use Policy.
10. Third-Party Services and Links
The platform integrates with third-party services to provide certain features. These integrations are subject to the respective third-party terms and conditions. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of integrated third-party services is at your own risk.
11. Limitation of Liability
To the maximum extent permitted by Philippine law, including the Civil Code of the Philippines:
- The platform is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not warrant that the platform will meet your specific requirements or that it will be free of errors, bugs, or security vulnerabilities.
- In no event shall Geopro Global Solutions Inc., its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform.
- Our total aggregate liability for any claims arising from these Terms or the platform shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Geopro Global Solutions Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising from:
- Your use of the platform.
- Your violation of these Terms.
- Your violation of any applicable law or the rights of any third party.
- Any User Content you submit, store, or transmit through the platform.
13. Termination and Data Export
- By You: You may terminate your subscription at any time by contacting our support team. Termination takes effect at the end of the current billing period.
- By Us: We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or engage in activities that harm the platform or other users.
- Data Export: Upon termination, you may request an export of your data within thirty (30) days. After this period, we may delete your data in accordance with our data retention policies and applicable law.
- Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.
15. Dispute Resolution
In the event of any dispute arising from or relating to these Terms:
- Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within thirty (30) days of written notice.
- Mediation/Arbitration: If negotiation fails, the dispute shall be submitted to mediation or arbitration in accordance with Philippine law.
- Venue: Any legal proceedings shall be held in the appropriate courts of Clark Freeport Zone, Pampanga, Philippines.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes through the platform, email, or other appropriate means. Your continued use of the platform after the effective date of any modifications constitutes your acceptance of the updated Terms.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
